SECTION 7-6-37

   § 7-6-37  Organization meetings. – (a) After the issuance of the certificate of incorporation an organizationalmeeting of the board of directors named in the articles of incorporation may beheld, either within or without this state, at the call of a majority of theincorporators, for the purpose of adopting bylaws, electing officers, and thetransaction of any other business that may come before the meeting. Theincorporators calling the meeting shall give at least three (3) days' notice ofthe meeting by mail to each named director, which notice states the time andplace of the meeting.

   (b) A first meeting of the members may be held at the call ofthe directors, or a majority of them, upon at least three (3) days' notice, forany purposes that are stated in the notice of the meeting.
