SECTION 7-6-65

   § 7-6-65  Decree of involuntarydissolution. – In proceedings to liquidate the assets and affairs of a corporation, when thecosts and expenses of the proceedings and all debts, obligations, andliabilities of the corporation shall have been paid and discharged and all ofits remaining property and assets distributed in accordance with the provisionsof this chapter, or in case its property and assets are not sufficient tosatisfy and discharge the costs, expenses, debts, and obligations, and all theproperty and assets have been applied so far as they will go to their payment,the court shall enter a decree dissolving the corporation, at which time theexistence of the corporation ceases.
