§  403. Certificate of incorporation. (a) If the meeting held pursuant  to section four hundred two shall decide that the unincorporated society  shall become incorporated, the presiding officer of such meeting and the  two  inspectors  of  election  shall  execute  a  certificate   entitled  "Certificate  of  Incorporation  pursuant  to  article  nineteen  of the  Religious Corporations Law."  This certificate shall state:    (1) the name of the proposed corporation,    (2) a statement that it is a  member  of  the  Unitarian  Universalist  Association,    (3)  the  number  of  trustees  thereof or that the number of trustees  shall not be less than a stated minimum nor more than a stated maximum,    (4) the names and residences of the trustees until  the  first  annual  meeting,    (5)  the  terms  of  office  for  which the trustees were respectively  elected,    (6) the county, town, city or village in which the principal place  of  worship or office is or is intended to be located.    (b)  On  the  filing  and  recording  of  such certificate the persons  qualified to vote at such meeting and those persons who shall thereafter  from time to time be qualified voters at the corporate meetings  thereof  shall  be  a  corporation by the name stated in such certificate and the  persons therein stated to be elected trustees of such society  shall  be  the  trustees  thereof  for  the  terms for which they were respectively  elected and until their respective successors shall be elected.
