154.33-527 Removal of members -- Meetings -- Officers. (1) Any member of the board as provided in KRS 154.33-525(1)(c), (d), and (e) may be removed by the appropriate appointing authority for inefficiency, neglect of duty, <br>malfeasance, misfeasance, or conflict of interest. When a member is removed, the <br>reasons for removal shall be set forth in writing and shall be read at the next <br>meeting of the board or executive committee, whichever occurs first. (2) Meetings of the board shall be open to the general public, and shall be held at least once annually, and called in the manner as specified in the corporation's bylaws. <br>Special meetings of the board may be held on call of the chairman, who shall give <br>written notice to all members at least seven (7) days prior to the meeting, and shall <br>contain the date, time and place, and the subjects that shall be discussed. (3) The board shall adopt bylaws and rules pertaining to operation of the corporation and shall keep minutes and records of all proceedings which shall be filed in the <br>offices of the corporation. (4) A simple majority of the total membership of the board shall constitute a quorum. Any member who has a direct personal or pecuniary interest in the outcome of any <br>question before the board shall disclose the nature of the interest, and shall <br>disqualify himself from voting on the question, and he shall not be counted for the <br>purpose of a quorum. A simple majority of all members present where there is a <br>properly constituted quorum shall be necessary to transact any official business, <br>except that a vote of a simple majority of the total membership shall be necessary to <br>adopt or amend the corporation's bylaws. A quorum need not be present to adjourn a <br>meeting of the board. (5) The board shall annually elect a chairman and any other officer which it deems necessary and which are specified in the corporation's bylaws. Each officer shall be <br>eligible for reelection at the expiration of his term. All officers of the board shall <br>serve on the board's executive committee as specified in KRS 154.33-540.
